Whodis

These Terms of Use ("Terms") form a binding agreement between you ("you" or "User") and Higgs LLC (Higgs MChJ), a limited liability company organized under the laws of the Republic of Uzbekistan ("Whodis", "we", "us", or "our"), governing your access to and use of the Whodis mobile application and related services (the "Service").
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT LIMITATIONS ON OUR LIABILITY, A DISCLAIMER OF WARRANTIES, STRICT RULES ON HOW YOU MAY USE THE SERVICE, AND — DEPENDING ON YOUR JURISDICTION — A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER (SECTION 21).
By downloading, installing, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for adults only. By using the Service you represent and warrant that you meet these requirements and that you are not barred from using the Service under the laws of any applicable jurisdiction.
2. Description of the Service
Whodis is a facial-search tool. You submit a photograph of a face, and the Service searches publicly available internet sources — primarily social-media profiles and public web pages — for images that appear visually similar, returning potential matches with links, public handles, thumbnails, and confidence scores. The matching is performed by a third-party facial-recognition search provider. We may modify, add, or discontinue features at any time.
The Service is provided for lawful, personal, non-professional use only.
3. Accounts and device identity
The Service does not use traditional accounts. Your installation is identified by a randomly generated identifier stored on your device. You are responsible for all activity that occurs through your installation and device. You must keep your device secure. If your device is lost, stolen, or compromised, your search history and coins may be accessible to whoever controls the device.
4. License
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Service on a device you own or control, solely for your own lawful, personal use. All rights not expressly granted are reserved.
5. Acceptable use — your core obligations
The Service is powerful and is capable of being misused in ways that harm others and break the law. You agree to use the Service only in compliance with all applicable laws and these Terms. You specifically agree to the following.
5.1 You may only search images you are entitled to search
You may submit and search a facial image only if:
- it is a photograph of yourself; or
- you have the consent of the individual depicted; or
- you otherwise have a lawful basis and the legal right to process that person's facial/biometric data in the manner the Service performs.
You are solely responsible for ensuring you have any consent or authorization required under applicable privacy and biometric laws (including the GDPR, the Illinois BIPA, the Texas CUBI, the Washington biometric statute, and similar laws) before submitting any image.
5.2 Prohibited uses
You must not use the Service, or any result it produces, to:
- stalk, harass, intimidate, threaten, surveil, dox, defame, blackmail, extort, or harm any person;
- identify, locate, or contact any person against their wishes, or facilitate any of the foregoing by a third party;
- make or assist any decision regarding a person's eligibility for employment, credit, insurance, housing, education, or any similar benefit or transaction. The Service is not a "consumer reporting agency," and results are not "consumer reports," under the U.S. Fair Credit Reporting Act ("FCRA") or any analogous law, and you may not use the Service for any FCRA-regulated purpose;
- determine a person's immigration status, or facilitate discrimination on the basis of race, ethnicity, religion, sex, gender, sexual orientation, disability, or any other protected characteristic;
- conduct surveillance on behalf of, or provide results to, any government, law-enforcement, or intelligence body, except where you are duly authorized and the use is lawful;
- violate any person's privacy, publicity, biometric, intellectual-property, or other rights;
- violate the terms of service of any third-party platform whose content appears in results;
- scrape, harvest, bulk-process, or build any database from results, or use the Service to create or enrich any facial-recognition or identity database;
- reverse engineer, decompile, interfere with, overload, or attempt to gain unauthorized access to the Service or its providers;
- use the Service for any unlawful, deceptive, fraudulent, or malicious purpose.
5.3 Acknowledgment
You acknowledge that misuse of facial-recognition technology can cause serious harm and may be a criminal offense or give rise to civil liability. You accept full responsibility for your use of the Service and for any consequences of that use.
6. Your representations, warranties, and indemnity
You represent and warrant, each time you use the Service, that: (a) you meet the eligibility requirements in Section 1; (b) you have all rights, consents, and lawful bases necessary to submit each image and to receive and use the results; and (c) your use complies with these Terms and all applicable laws.
Indemnification. To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Whodis, its affiliates, and their respective officers, directors, employees, agents, and providers from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use or misuse of the Service or any result; (ii) your breach of these Terms; (iii) your violation of any law or of any third party's rights, including any privacy, biometric, or publicity right; or (iv) any image you submit.
7. Coins, purchases, and payment
7.1 Coins
Certain features require "coins," a consumable virtual item. A search typically consumes one coin. Coins are sold through Apple's in-app purchase system in the bundles offered in the app. Prices are displayed at the point of purchase and may change.
7.2 No cash value; non-refundable
Coins are a limited, revocable license to use a feature of the Service. Coins have no monetary value, are not redeemable for cash, cannot be transferred or resold, and are non-refundable except where required by applicable law or by Apple's policies. Unused coins may be forfeited upon termination as described in Section 16.
7.3 Apple processing and refunds
All purchases are processed by Apple under the terms of the Apple Media Services and App Store terms. We do not process payments and do not receive your payment-card details. Refund requests are handled by Apple in accordance with Apple's policies; we generally cannot grant refunds directly.
When you request a refund for an in-app purchase through Apple, you consent to us sharing with Apple — through our subscription-management provider — certain "consumption data" about that purchase and your use of the app, together with our recommended resolution, so that Apple can evaluate your request. This may include how long your installation has existed, whether the purchased coins or feature were used, an approximate measure of your in-app usage, and the approximate total value of your purchases and refunds within the app. It does not include your name, payment-card number, or any image or search result. This information is shared only in response to a refund request you initiate; how it is handled is described in our Privacy Policy.
7.4 Server is the source of truth
Your coin balance is maintained on our servers. We may correct balances to remedy errors, fraud, or abuse.
7.5 Changes
We may change the price, composition, or availability of coins and features, or discontinue them, at any time, subject to applicable law.
8. No guarantee of results or accuracy
You understand and agree that:
- results are produced by automated facial-recognition technology and are inherently probabilistic and may be wrong, incomplete, outdated, or misleading;
- a match does not prove the identity, location, character, conduct, or affiliation of any person, and a non-match does not prove their absence;
- results may include images of different people who merely resemble the submitted face;
- you must independently verify any information before relying on it, and you must never use results to make safety-critical decisions or to harm or confront any person; and
- we do not control, endorse, or take responsibility for the third-party content surfaced in results.
We make no promise that the Service will find any particular person or any results at all.
9. Third-party services and content
The Service relies on and links to third-party services and content, including the facial-search provider, Apple's services, hosting and analytics providers, and the third-party websites and profiles surfaced in results. Your use of third-party services may be subject to their own terms and privacy policies. We are not responsible for third-party services or content and disclaim liability arising from them.
10. Intellectual property
The Service, including its software, design, text, graphics, logos, and the "Whodis" name and marks, is owned by or licensed to us and is protected by intellectual-property laws. Except for the license in Section 4, these Terms do not grant you any right in our intellectual property. You retain whatever rights you hold in the images you submit; you grant us a limited license to process those images solely to provide the Service to you, as described in the Privacy Policy.
11. Privacy
Our collection and use of personal information, including biometric data, is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to that collection and use.
12. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- IN NO EVENT WILL WHODIS, ITS AFFILIATES, OR THEIR PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FOR FRAUD.
14. Assumption of risk
You acknowledge that facial-search technology carries inherent risks, including the risk of false matches and the risk that results may identify the wrong person. You assume all risk arising from your use of the Service and your reliance on any result, and you agree that, as between you and us, you are solely responsible for your conduct and its consequences.
15. Suspension and changes to the Service
We may modify, suspend, or discontinue the Service or any part of it, temporarily or permanently, with or without notice, and we may impose limits on certain features. We will not be liable to you for any such modification, suspension, or discontinuation, subject to applicable law and Section 7 regarding coins.
16. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or applicable law, or to protect the Service, other users, or third parties. You may stop using the Service at any time by deleting the app. Upon termination: your license under Section 4 ends; unused coins may be forfeited without refund except as required by law; and Sections 5–6, 8–14, 17–22, and any provision that by its nature should survive, will survive.
17. Governing law
These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the Republic of Uzbekistan, without regard to its conflict-of-laws rules, except to the extent mandatory consumer-protection laws of your country of residence apply.
18. Dispute resolution; arbitration; class-action waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
18.1 Informal resolution
Before bringing a formal proceeding, you agree to first contact us at support@onionix.xyz and attempt to resolve the dispute informally for at least 30 days.
18.2 Binding arbitration
Except where prohibited by law, any dispute that is not resolved informally will be resolved by final and binding arbitration administered by the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Republic of Uzbekistan under its then-current rules, before a single arbitrator, seated in Tashkent, Republic of Uzbekistan. Judgment on the award may be entered in any court of competent jurisdiction.
18.3 Class-action waiver
You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims.
18.4 Exceptions
Either party may bring a claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual-property or confidential information. You may opt out of this arbitration agreement by notifying us at support@onionix.xyz within 30 days of first accepting these Terms.
18.5 Consumer rights
If you are a consumer resident in the EEA, the UK, or another jurisdiction whose mandatory law prohibits pre-dispute arbitration or class waivers, this Section applies only to the extent permitted by that law, and you retain the right to bring proceedings in the courts of your place of residence.
19. Apple App Store — additional terms
These Terms are between you and Whodis only, and not with Apple Inc. ("Apple"). You acknowledge that:
- Apple has no obligation to furnish any maintenance or support for the Service;
- Apple is not responsible for any product warranties, whether express or implied; in the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app, and to the maximum extent permitted by law Apple has no other warranty obligation;
- Apple is not responsible for addressing any claims by you or any third party relating to the Service, including product-liability, regulatory-compliance, or consumer-protection claims;
- Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual-property infringement claim relating to the Service;
- you must comply with applicable third-party terms (including the App Store Terms of Service) when using the Service; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.
You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist-supporting," and that you are not on any U.S. Government list of prohibited or restricted parties.
20. Notices and changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where required, provide notice within the app. Changes take effect when posted (or as otherwise stated). Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the updated Terms, stop using the Service.
21. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be enforced to the maximum extent permissible.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- No agency. Nothing in these Terms creates any partnership, agency, or employment relationship.
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
- Language. These Terms are drafted in English; any translation is provided for convenience, and the English version controls where permitted by law.
